Corporate and M&A Commission Seminar // Annual Labour Law Conference

The M&A Corporate and the Labour and Immigration Law Commissions are proud to invite you to a truly transatlantic double seminar in New York City, the US capital for business.

We will not only have breakfast but discuss the challenges of transatlantic M&A deals as well as labour law responses to an evolving global community in the workplace. Together we will also address new approaches to client management on both sides of the Atlantic. The event is scheduled immediately following the International Bar Association’s annual M&A Conference to allow M&A practitioners to attend the two conferences in the same week.

The M&A seminar will address the most important aspects of the life cycle of a transaction, with a particular focus on identifying and navigating transatlantic differences:
During the two-day seminar, we will look at the first steps of a deal, structuring questions, legal due diligence and the importance to understand differences when reviewing potential liabilities (what are the top ten main risks?), address regulatory constraints in the US and Europe (CIFIUS/ FDI Screening/ Antitrust) and explore post-closing liabilities and related market practices.The panels will include a healthy mix of AIJA and external speakers such as investment bankers and general counsels, to allow you to benefit both from external input and insight from fellow M&A colleagues.

The Labour Law track will take you through the real-life impact of Labour law: What influence do diversity and inclusion initiatives have, what about religious expression in the workplace? The panels will focus both on these current and highly sensitive issues, the rights and boundaries as well as on employment alternative dispute resolution (mediation and arbitration strategies) and innovative HR policies around the globe.

Our two joint panels will notably discuss general counsels’ selection criteria for their cross-border lawyers, best practices of client-relationship management both from a lawyer and an in-house perspective, how to address conflict rules (watch your compliance and KYC issues!) and market trends regarding fee arrangements – AIJA at its best!

Please note that in-house counsel registrations are subject to review and confirmation by AIJA. AIJA considers in-house counsel professionals who hold a university degree in law allowing access to a bar association and practicing law as an in-house counsel in private, public, or non-profit companies, institutions or organisations. Please note that in-house counsel who are at the same time active as fee-earning lawyers or consultants are not eligible to the discounted in-house counsel fee.
