Corporate Governance, M&A and Employee Participation: Aligning Strategy and Stakeholders

In today’s corporate environment, governance structures face increasing complexity. Directors, shareholders and their advisors often find themselves navigating multiple – and sometimes conflicting – roles and duties. Questions of accountability, transparency and the evolving expectations of boards are at the heart of corporate governance debates, alongside the growing importance of ESG considerations and stakeholder engagement.

At the same time, employee participation continues to gain momentum – not only through representation in governance bodies (even in countries where unions have historically been reluctant to sit in the decision room, we see a shift in the legislative approach in order to try to favour employees and unions involvement in corporate structures.), but also via equity-based incentive schemes, pension fund activism and other innovative models of involvement. These developments raise important questions about how to balance corporate control, shareholder value and the interests of employees as active stakeholders. Also, management and employees’ involvement constitutes a key aspect in several M&A transactions.

This seminar will bring together experts to explore how governance frameworks and participation models are reshaping corporate decision-making and control.

There are currently no registration fees available.

General terms and conditions

By registering you have to accept the general terms and conditions and accept that your registration is considered binding immediately, but participation to the event is possible only after full payment of the registration fee.

Please note that any arrangements related to the participation of the participant in an AIJA event, including but not limited to booking or cancellation of accommodation or flights, as well as respecting the cancellation deadlines indicated in the general terms and conditions, are the sole responsibility of the participant. AIJA shall not be held liable for any expenses the participant may suffer as the result of participant’s failure to comply with his/her obligations.

It is recommended for each participant to purchase a cancellation and travel insurance.

Please note that in-house counsel registrations are subject to review and confirmation by AIJA. AIJA considers in-house counsel professionals who hold a university degree in law allowing access to a bar association and practicing law as an in-house counsel in private, public, or non-profit companies, institutions or organisations. Please note that in-house counsel who are at the same time active as fee-earning lawyers or consultants are not eligible to the discounted in-house counsel fee.

We have negotiated the following special rates for the participants of the seminar:

Room Rates (per person per night):

  • Double room for single use: CHF 240.00 per person
  • Double room (double occupancy): CHF 215.00 per person

The above rates exclude city tax of CHF 4.50 per person per night and “Cause We Care – myclimate” contribution of CHF 2.00 per person per night.

The following steps are required for booking a hotel room:

  1. First, participants must send an email with the code “AIJA” to event@valbellaresort.ch including the required details (name, arrival date, and departure date).
  2. The hotel will then send a reply email containing a personalized booking link.
  3. Participants must enter their credit card details via this booking link.
  4. Only after the credit card details have been submitted through the link is the booking considered confirmed.
  5. The hotel will then send an official booking confirmation.
  6. Room allocation will be handled by the hotel.

Cancellation conditions for individual participants:

  • Up to 31 days before arrival: free of charge.
  • From 30 days to 8 days before arrival: 100% of the accommodation costs will be charged.

Arrival via Zurich Airport (ZRH)
The nearest major international airport for reaching Valbella is Zurich Airport (ZRH). From there, Valbella is easily reachable by train + bus or rental car.

By Train + Bus
- From Zurich Airport, take a Swiss Federal Railways (SBB) train to Chur.
- Once in Chur, continue your journey on a PostAuto bus directly to Valbella / Lenzerheide.

By Rental Car
Rental cars are available at Zurich Airport.
The drive to Valbella takes approximately 1 hour 45 minutes, following the A3/A13 motorway toward Chur, then continuing up into the Lenzerheide–Valbella mountain region.
